These Terms of Service (“Terms”) are a legal agreement between you and IC Analytica that govern your use of the website listed above (the “Site”). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site. We may update these Terms at any time. Your continued use of the Site means you accept the updated Terms.

1. Use of the Site

You must be at least 13 years old. You may use the Site only for lawful purposes and in compliance with these Terms.

2. Privacy

Our Privacy Policy explains how we collect and use information. By using the Site you consent to our privacy practices.

3. Intellectual property

The Site and its content are owned by IC Analytica or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, nonexclusive, nontransferable license to view and use the Site for your personal, noncommercial use. If you provide comments or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation.

To the fullest extent permitted by law, IC Analytica and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Site. Our total liability for any claim arising out of or relating to the Site will not exceed one hundred dollars (USD $100).

9. Indemnification

You agree to defend, indemnify, and hold harmless IC Analytica and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Site or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Site at any time and for any reason. On termination, the license granted in Section 3 ends immediately.

11. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas for any dispute that is not subject to arbitration.

12. Dispute resolution (optional arbitration)

If you prefer arbitration, replace Section 11 with this clause:
“Any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration will be Austin, Texas. Either party may seek injunctive relief in court for misuse of intellectual property or breach of confidentiality.”

13. Miscellaneous

These Terms are the entire agreement between you and IC Analytica regarding the Site. If any part is found invalid, the rest remains in effect. A failure to enforce any provision is not a waiver. You may not assign these Terms without our consent. We may assign them. We are not liable for delays or failures caused by events beyond our reasonable control.
